By accessing and using FlazHost, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our Service.
1. Service Description & Acceptance
FlazHost by CV Flaz Digital Nusantara ("Company," "we," "us," "our") provides a comprehensive cloud platform offering: email hosting, domain management, email migration, WhatsApp Business messaging management, WhatsApp Cloud API integration (via Meta), AI Agent, live chat, and related services ("Service"). These Terms of Service govern your use of our Service and constitute a legally binding agreement between you ("User," "you," "your") and FlazHost.
By creating an account, accessing, or using any part of FlazHost, you agree to these Terms. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. User Accounts & Responsibilities
2.1 Account Registration
To use the Service, you must create an account with accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and password.
2.2 Authorized Use
- You are solely responsible for all activities on your account
- You must not share your account credentials with unauthorized persons
- You must notify us immediately of unauthorized account access or security breaches
- You are liable for all transactions made through your account
2.3 User Conduct
You agree not to use the Service for any unlawful or prohibited activities, including but not limited to:
- Sending spam, phishing, malware, or unauthorized bulk emails
- Sending unsolicited (spam) WhatsApp messages, scams, or illegal content
- Harassing, threatening, or defaming others
- Violating any laws, regulations, or third-party rights
- Attempting to gain unauthorized access to systems or data
- Interfering with the Service's operation or security
- Reverse engineering, decompiling, or circumventing security measures
- Using the Service for illegal activities or content distribution
3. User Rights & Restrictions
3.1 Limited License
We grant you a limited, non-exclusive, non-transferable license to use the Service for lawful purposes only. This license does not include the right to sublicense, modify, or create derivative works.
3.2 Restrictions
You may not:
- Copy, modify, or distribute the Service or its content
- Reverse engineer, decompile, or disassemble any part of the Service
- Bypass any security or access control mechanisms
- Access the Service with automated tools (bots, scrapers) without authorization
- Redistribute platform access to third parties without written permission from FlazHost
- Use the Service to directly compete with FlazHost
4. Intellectual Property Rights
4.1 Our IP
All FlazHost content, software, designs, logos, and trademarks are owned by or licensed to FlazHost. You may not use our intellectual property without prior written permission.
4.2 Your Content
You retain ownership of all content (emails, messages, documents, data) you upload or create using the Service. By using the Service, you grant FlazHost a limited license to store, process, and maintain your content solely for the purpose of providing the Service.
5. Content, Messaging & Usage
5.1 Email & WhatsApp Message Content
- You are solely responsible for the content of emails and WhatsApp messages sent through your account
- We do not monitor message content unless required by law or to prevent violations
- You warrant that all messages comply with all applicable laws
- You must not use messaging services for spam, phishing, or malware distribution
- You must not use WhatsApp Business to send messages that violate Meta's policies
5.2 Storage & Backup
- Storage limits are based on your subscription plan
- We recommend maintaining your own backups of important data
- We are not liable for data loss due to your failure to backup
- Deleted data cannot be recovered after 30 days
5.3 Third-Party Integrations
When you integrate third-party services (Gmail, Google Workspace, Meta/WhatsApp), you authorize us to access and process data according to those services' terms and your authorization scope. Such integrations are subject to third-party terms of service.
6. WhatsApp Business Services
6.1 Compliance with Meta & WhatsApp Policies
When using FlazHost's WhatsApp Business features, you agree to fully comply with:
- WhatsApp Business Policy
- WhatsApp Commerce Policy
- Meta Platform Terms
- Facebook Community Standards
- All applicable laws and regulations in your jurisdiction regarding marketing communications
6.2 User Responsibilities for WhatsApp Messaging
You are solely responsible for:
- Obtaining valid opt-in consent from recipients before sending promotional messages
- Ensuring your messages comply with WhatsApp Business Policy
- Managing opt-out requests and recipient block lists
- Not sending unsolicited bulk messages (bulk spam)
- Not abusing the API or your WhatsApp Business account
- Maintaining message quality to avoid spam reports that could lead to Meta blocking your number
6.3 WhatsApp Cloud API (Official Meta)
For users connecting a WhatsApp Business Account (WABA) via Meta Embedded Signup:
- You represent that you are the owner or have authority to manage the WABA
- You are responsible for Meta conversation fees that may be charged directly by Meta to your WABA account
- You understand that FlazHost acts as a Tech Provider and accesses your WABA on your behalf
- FlazHost is not liable for WABA account suspension or restrictions caused by your violations of Meta's policies
6.4 Unofficial WhatsApp Connection (Baileys)
For users connecting WhatsApp via unofficial methods:
- You acknowledge that this method is not officially supported by WhatsApp/Meta
- The risk of WhatsApp number suspension or blocking is entirely your responsibility
- FlazHost provides no guarantee of availability or continuity of this method
- You agree not to use this method for any unlawful activities
6.5 Violations & Sanctions
FlazHost reserves the right to suspend or terminate your WhatsApp service access if we discover:
- Use for spam, fraud, or WhatsApp policy violations
- Violation reports from Meta or third parties
- Activity that places FlazHost's Tech Provider reputation at risk
- Breach of these Terms or Meta's policies
7. Payment Terms & Billing
7.1 Fees & Billing
- Fees are based on your chosen plan and billed in advance
- All fees are exclusive of applicable taxes and charges
- Billing occurs monthly or annually depending on your subscription
- Prices are subject to change with 30 days' notice
7.2 Additional WhatsApp Cloud API Fees
Users of WhatsApp Cloud API (official Meta) should understand that:
- Meta may charge conversation fees directly to your Meta Ads / WABA account, separate from FlazHost fees
- Meta's pricing model is conversation-based — you are responsible for monitoring your own usage
- FlazHost is not responsible for fees charged by Meta directly to you
7.3 Payment Method
- You must provide valid payment information
- You authorize us to charge your payment method for fees owed
- Payment information is processed securely by third-party providers
- Failed payments may result in service suspension
7.4 Refund Policy
- No refunds for services already rendered
- Unused portions of prepaid services are non-refundable
- Cancellation takes effect at the end of the current billing period
8. Disclaimers & Limitations of Liability
8.1 Service "As-Is"
The Service is provided "as-is" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free service, though we strive for high availability.
8.2 No Warranties
We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific requirements.
8.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount paid by you in the past 12 months
- This limitation applies regardless of the nature of the claim or whether we were notified of possible damages
- We are not responsible for losses arising from Meta/WhatsApp account suspensions or policy changes
8.4 Exclusions
These limitations do not apply to: (1) gross negligence or willful misconduct, (2) fraud, (3) death or personal injury, or (4) violations of law that cannot be excluded by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless FlazHost and its officers, directors, employees, and agents from any claims, losses, damages, and liabilities (including attorney fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your content or messages violating third-party rights
- Your use of WhatsApp Business services in violation of Meta's policies
- Your unauthorized or unlawful activity
- Claims from Meta/WhatsApp related to your WABA usage
10. Termination
10.1 Termination by You
You may terminate your account and stop using the Service at any time by contacting customer support. After termination, you have 30 days to download your data before permanent deletion.
10.2 Termination by Us
We may suspend or terminate your account if you:
- Violate these Terms or applicable laws
- Engage in spam, phishing, malware, or security threats
- Use WhatsApp services in violation of Meta's policies
- Fail to pay invoices for 30 days after due date
- Provide false or fraudulent information
- Infringe upon intellectual property rights
10.3 Effect of Termination
- Your account access is immediately revoked
- You remain liable for all fees incurred through the termination date
- Your data may be deleted according to our data retention policy
- All licenses and rights granted terminate immediately
- Your WhatsApp Business connections are disconnected and access tokens deleted
11. Dispute Resolution
11.1 Informal Resolution
Before pursuing formal legal action, you agree to attempt to resolve disputes through good-faith negotiation with FlazHost customer support for at least 30 days.
11.2 Governing Law
These Terms are governed by and construed in accordance with the laws of Indonesia, without regard to its conflict of law provisions.
11.3 Arbitration
Any legal action or proceeding relating to these Terms shall be exclusively resolved through binding arbitration rather than in court, except for claims of intellectual property infringement.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced, constitute the entire agreement between you and FlazHost regarding the Service.
12.2 Amendments
We may modify these Terms at any time. Significant changes will be notified to you via email or prominent notice on the Service. Your continued use constitutes acceptance of modifications.
12.3 Severability
If any provision is found unenforceable, the remaining provisions continue in full force and effect.
12.4 No Waiver
Failure to enforce any right or provision does not constitute waiver of that right or provision.
